The Fun with Books Association
Article 1. Name
This organization shall be known as The Fun with Books Association.
Article 2. Purpose
The mission of The Fun with Books Association is to instil a love of reading and books in preschoolers so that they will have a better chance of success in their years of schooling and work ahead, and to encourage children and their parents and caregivers to spend time every day reading and experiencing books together.
Article 3. Membership
Fun with Books is a voluntary Association. Any resident of the United Counties of Leeds and Grenville is eligible to join the Association.
Article 4. Board of Directors
4.1 There shall be no more than twelve and no fewer than three Directors on the Board of The Fun with Books Association. The Board of Directors is the formal policy-setting group, formed to define and meet the needs, goals and objectives of the Association.
4.2 A quorum shall consist of a majority of the number of members appointed to the Board.
4.3 Officers shall consist of Chairperson, Vice Chairperson , Secretary and Treasurer.
4.3.1 The Chairperson shall preside at all meetings of the Board. The Vice Chairperson shall conduct any meeting from which the Chairperson is absent.
4.3.2 The Secretary shall record in the minutes of Board meetings all deliberations and decisions of the Board.
4.3.3 The Treasurer shall keep full and accurate books of account in which shall be recorded all receipts and disbursements, and under the direction of the Board shall control the deposit of money and the payment of bills. The Treasurer shall present a financial report to each meeting of the Board. The Treasurer shall also prepare and present an annual budget for the approval of the Board.
4.3.4 Any position on the Board of Directors is not time-limited. A member of the Board of Directors who misses three consecutive meetings of the Board may be removed by decision of the Board of Directors.
4.4 Ex-Officio Members
From time to time, the Board of Directors may appoint non-members of the Board to serve specific roles with the Association. Examples of such roles include, but are not limited to, the following:
- Co-ordinator of Volunteers
- Book Distribution Co-ordinator
- Legal Consultant
- Fund Raising Co-ordinator
- Data Base Manager
4.4.1 Ex-Officio members of the Board of Directors may report to the Board of Directors, take part in deliberations, and provide advice to the Board. However, Ex-Officio members are not permitted to vote on motions or decide policy.
Article 5. Meetings
5.1 Regular Meetings The Board of Directors of the Association meets three times per year, in February, June and October. The Annual Meeting of the Association takes place in February each year. All meetings of the Board of Directors are open to interested members of the community. Notice of the Annual General Meeting will be published three weeks prior to the date of the meeting through local media.
5.2 Special Meetings
5.2.1 The Chairperson of the Board of Directors has the authority to call a special meeting of the Board of Directors with 48-hours prior written notice.
5.2.2 Any three members of the Board of Directors may call a special meeting of the Association with 48-hours prior written notice. The purpose of such a meeting must be stated at the time of its calling.
5.3.1 At regular and special meetings of the Board of Directors, voting privileges are extended only to members of the Board of Directors. A motion must receive a simple majority of votes to pass.
5.3.2 At the Annual General Meeting, any adult resident of the United Counties of Leeds and Grenville is deemed to be a member, and thus, entitled to vote. A motion must receive a simple majority of votes to pass.
5.4 Quorum The quorum shall consist of a majority of the members appointed to the Board of Directors. There is no quorum requirement for members of the public deemed to be members at the Annual General Meeting.
Article 6. Method to Amend the Constitution
This constitution may be amended at the Annual Meeting of The Association by a two-thirds vote of the members present, providing that previous notice of 10 days has been given. With no notice, the constitution may be amended by a nine-tenths vote of the members present.
Article 7. Dissolution of the Association
The Fun with Books Association may cease operation following a resolution passed by the Board of Directors at a regular of special meeting of the Board. Two-thirds of the members present must vote in favour of this resolution.
Assets of the Association remaining after all bills have been paid will be distributed to an organization which supports children and/or family literacy, as chosen by the Board of Directors.
